These are some of the most commonly asked questions about Stonebrae Country Club and this information provides just a brief summary of the benefits and privileges of Club Membership. Q. What is the purpose of the Club?

A. The Club is a place where you and your family can relax, play, and spend time with people you enjoy, while taking advantage of magnificent recreational facilities and stimulating programs and activities.

Q. What recreational and social facilities will be available to members?

A. The centerpiece of the Club is the 18-hole premier golf course designed by David McLay Kidd, designer of the world-renowned Bandon Dunes golf course in Oregon and the upcoming Castle Course in St. Andrews, Scotland. The golf facilities also include an expansive driving range and a manicured practice putting green. A spectacular clubhouse with a top-of-the-line pro shop, men's and women's locker rooms, a grill room, lounge and banquet facilities are the focal point of the Club's social events and activities. Tennis courts and temporary health and fitness facilities are currently available with a 25-meter swimming pool nearing completion.

Q. When will the facilities be completed?

A. Club facilities will be completed in phases. While the first phase of construction was completed in the fall of 2007, all other recreational facilities are anticipated to be finished and open for use by 2009. Currently members have access to the 18-hole golf course, tennis courts and temporary clubhouse and fitness facilities.

Q. What membership opportunities are available at the Club?

A. The Club is offering the following categories of memberships: Founder Memberships, Charter Memberships, Corporate Memberships, Resident Golf Memberships, Non-Resident Golf Memberships, Resident Sports Memberships, Non-Resident Sports Memberships and Social Memberships. The Club reserves the right to also offer a limited number of Honorary Memberships on terms and conditions determined by the Club in its sole discretion, from time to time.

Q. Is the number of memberships limited?

A. Yes. In order to assure the high standard of service and accessibility that our members expect, the Club will limit the number of memberships as follows: a total of 450 Resident and Non-Resident Golf Memberships, of which there can be up to 50 Founder Memberships, 25 Charter Memberships, 20 Corporate Memberships, and 355 Golf Memberships. The number of Resident and Non-Resident Sports Memberships is limited to 250, of which there can be up to 50 Non-Resident Sports Memberships. The number of Social Memberships will be determined by the Club from time to time. In addition, the Club will limit the number of Honorary Memberships to 20.

Q. What are the privileges of membership?

A. The Founder, Charter, Corporate, Resident and Non-Resident Golf Memberships are designed for those individuals who wish to take advantage of all the outstanding club facilities, including golf. Founder Members will have the highest priority to reserve golf starting times. The holders of Founder, Charter, Corporate, Resident and Non-Resident Golf Memberships will not be required to pay greens fees or court fees for use of the golf and tennis facilities, but will be required to pay golf cart fees.

Resident and Non-Resident Sports Members can use all Club facilities. However, a Sports Member will be limited to a total of six (6) rounds of golf per calendar year (including rounds played by family members and guests). Advanced sign-up privileges for tee and court times for these members will be determined by the Club, but priority tee times will be give to Founder, Charter, Corporate, Resident and Non-Resident Golf Members. Sports Members will not be required to pay greens fees for their six (6) rounds or court fees for use of the golf and tennis facilities, but will be required to pay golf cart fees.

Social Members will be entitled to use the banquet, grill and lounge facilities located in the clubhouse as well as participate in social events and activities open to all members.

Q. What are some of the special features of membership?

A. Each membership is a family membership. The member's spouse or partner and unmarried children, under the age of 23, enjoy membership privileges on the same basis as the member.

Children over the age of 22 and/or married, parents and grandchildren of the member and spouse or significant other and their spouses or significant others can use the facilities of the Club upon the payment of reduced fees.

Members are not subject to either operating or capital assessments.

Resigned members do not have to wait until all new memberships in the Club have been issued before their membership is reissued (or a replacement membership is issued, as the case may be) and they receive their refund (if applicable). Every fourth membership issued in each category will be resigned membership from the waiting list.

Members are encouraged to invite guests to share the Club experience, subject to the rules, regulations and policies concerning guests.

The membership deposit paid by Founder, Charter, Corporate, Resident Golf, Non-Resident Golf, Resident Sports and Social Members is refundable as described below.

Founder, Charter and Resident Golf Memberships are transferable as a Resident Golf Membership through the Club to the subsequent purchaser of the member's home or homesite within the Stonebrae residential community.

Upon the death of a member, the membership may be transferred to the deceased member's spouse or adult child or grandchild without additional payment, subject to approval for membership.

Lessees of the member's home within the Stonebrae residential community can use the lessor member's membership.

Q. Are membership deposits refundable?

A. Each person who acquires a Founder, Charter, Corporate, Resident Golf, Non-Resident Golf, Resident Sports or Social Membership will be entitled to receive a refund of his or her membership deposit, without interest, 30 years from the date of the member's admission to the Club.

In the event that the member resigns from the Club before the end of the 30-year period, the resigned member will be entitled to receive a refund equal to the amount of the membership deposit required to be paid for the membership by the successor member less a 20% re-issuance fee, but not to exceed the amount of the membership deposit paid by the resigned member, within 30 days after the re-issuance of the resigned member's membership by the Club to a new member.

Resigned memberships will be re-issued on a first-resigned, first-re-issued basis. Until all memberships in a particular category have been issued, the Club will issue one resigned membership for every three new memberships issued in that category.

Q. Can I arrange to have my membership transferred to the purchaser of my property in Stonebrae?

A. Yes. The subsequent purchaser must be approved for membership and pay the membership deposit required at that time.

Q. Can members be assessed to cover any operating deficits or capital improvements?

A. No. Members will not be subject to any assessments for operating deficits or capital improvements. The Company will be responsible for all deficits incurred in the operation of the Club and its facilities and for the cost of all capital improvements.

Q. Who will own and operate the Club facilities?

A. Stonebrae Club Partners, LLC, will own and operate the Club facilities. The Club reserves the right to have a third-party management company manage the Club facilities.

Q. How will the Club keep informed of the needs of the members?

A. The Club is committed to providing the types of services, programs, activities and events that its members desire. An advisory committee consisting of members elected by members will be formed to provide input on matters of interest to Club Management.
